INFORMED PRAGMATIC COUNSEL

Advising Those Who Do the Common Good

At Peterson Conners LLP, our attorneys advise nonprofit organizations large and small regarding general business and governance issues.  As board members ourselves, we understand the unique role of the board, staff and the stakeholders whom they serve.  We counsel nonprofit clients on governance, governing documents, committee charters, conflict of interest policies, whistleblower policies, codes of conduct and ethics, succession plans, D&O insurance and indemnification.

Formation and Tax-Exempt Applications

We have created a variety of nonprofit and tax-exempt entities and obtained determinations of tax-exempt status from the Internal Revenue Service.  We have assisted with Attorney General registration for charitable entities and obtained the solicitation licenses necessary to fundraise in various jurisdictions, including the City of Columbus.

Representative Clients

We have counseled colleges and universities, trade associations, economic development organizations, cooperatives, health and human service organizations, social service organizations and advocacy organizations.

Scope of Representation

In addition to the governance matters described above, we have assisted with strategic planning, board education, funding contracts and grants to other nonprofits, fundraising contracts and policies.  We also provide counsel to our nonprofit clients in these areas of law:

  • State property tax exemptions

  • Licensure and certification

  • Mergers and acquisitions

  • Dissolutions

  • Restructuring and reorganizations

  • Real estate development

  • Software contracting
